Terms of Service

These Terms of Service describe the rules and commitments that govern use of the Belrald platform. Institutional subscribers should also refer to their Master Subscription Agreement.
Agreement
These Terms govern use of the Belrald platform. For institutional customers, a signed Master Subscription Agreement (MSA) takes precedence over these Terms. For individual users (staff and students of subscribing institutions), continued use constitutes acceptance.
Accounts
Accounts are created under an institutional subscription. Users must keep credentials confidential and are responsible for activity performed under their accounts. Suspected compromise should be reported to your institution's ICT team immediately.
Acceptable use
Belrald may not be used to: (a) violate laws or third-party rights; (b) attempt to access data you are not authorised to view; (c) probe or reverse-engineer the platform; (d) send spam or malicious content via the platform; (e) interfere with service availability.
Subscription and billing
Institutional subscriptions are billed per active enrolled student, per month or per year in advance. Invoices are issued at the start of each billing period. Late payment may result in service suspension after notice to the institution.
Service availability
We target 99.9% uptime for the Belrald platform, excluding scheduled maintenance communicated in advance. Our Service Level Agreement (SLA) describes specific commitments and credits.
Data
Institutional data belongs to your institution. We process it under our Data Processing Agreement. See our Privacy Policy and Security page for detail.
Intellectual property
Belrald retains all rights to the platform, its underlying software, branding and documentation. Institutions receive a non-exclusive, non-transferable licence to use the platform for the duration of their subscription.
Termination
Either party may terminate an institutional subscription on written notice. Upon termination, institutions have a defined grace period to export their data. We may suspend individual user accounts at the request of the institution or for breach of these Terms.
Liability
To the extent permitted by law, Belrald's aggregate liability is limited to the fees paid by the institution in the 12 months preceding the claim. Belrald is not liable for indirect, incidental or consequential damages.
Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the exclusive jurisdiction of the courts of Lagos State, except as otherwise provided in an institutional MSA.
Changes
We may update these Terms from time to time. Material changes are notified to institutional customers at least 30 days in advance.
